Vendor Agreement

This Vendor Agreement ("Agreement") governs your use of Secretaries Pay Secretaries (the "Service"), operated by Secretariespaysecretaries.com, as a seller ("Vendor"). It applies in addition to our Terms of Service and Privacy Policy.
1. Eligibility
To sell on the Service you must be at least 18, have the legal right to sell your Products, and complete our vendor onboarding, including our payment provider's KYC checks.
2. Your content and license grant
You keep ownership of the Products, previews, images, descriptions, and other content you upload ("Vendor Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, display, promote, reproduce (including generating watermarked previews), transmit, and deliver Vendor Content for the purpose of operating and marketing the Service. This license ends when you remove the Product, except for copies we must retain for legal, backup, or transactional purposes.
3. Buyer license
Every purchase grants the Buyer a limited, non-exclusive, non-transferable license to download and use the Product for their own or their employer's internal work. Buyers may not resell, redistribute, or sublicense your Products. You may offer expanded license terms inside the Product itself; those terms do not override our platform rules.
4. Prohibited content
You may not upload Products that:
- Infringe someone else's copyright, trademark, or other rights.
- Contain malware, tracking, or code intended to harm users or systems.
- Are illegal, harassing, discriminatory, hateful, sexually explicit, or violent.
- Contain confidential employer information you don't have permission to share.
- Are AI-generated content resold as-is without meaningful review and customization.
5. Listings and pricing
You are responsible for accurate titles, descriptions, previews, file types, and pricing. You set your prices in the currency indicated on the Service. We may reject or remove listings that violate this Agreement or our vendor guidelines.
6. Fees, commission, and payouts
We charge a platform commission on each completed sale. The current commission rate is shown in your vendor dashboard. A small number of invited launch vendors may have a zero-commission rate applied to their account.
In addition to our commission, the payment processor's fee for each sale (currently approximately 2.9% + $0.30 per transaction) is deducted from the vendor's share. Your vendor dashboard shows the exact amount deducted so you can reconcile against your payouts.
We send vendor payouts via your choice of PayPal or Cash App, on the schedule described in your vendor dashboard. Any transaction or merchant fees charged by the payout method are deducted from the payout.
7. Refunds and chargebacks
All sales are final, as described in our Refund Policy. If we approve a refund or a Buyer wins a chargeback, the corresponding amount (including any payment-provider fees) is debited from your payouts.
8. Taxes
You are responsible for reporting and paying any income, sales, VAT/GST, or other taxes owed on your sales in your jurisdiction. We may collect and remit certain taxes where required by law.
9. Takedowns and enforcement
We may remove Products, suspend payouts, or terminate vendor accounts that violate this Agreement, our Terms, our guidelines, or applicable law — including in response to valid intellectual-property complaints.
10. Termination
You may close your vendor account at any time. We will process any outstanding payouts you're entitled to, subject to holds for refunds, chargebacks, or fraud review.
11. Independent contractor
You are an independent seller. This Agreement does not create an employment, partnership, joint venture, or agency relationship between you and us.
12. Changes
We may update this Agreement from time to time. Material changes will be posted here with a new "Last updated" date. Continued use of the vendor tools after changes means you accept them.
