Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Secretaries Pay Secretaries website and marketplace (the "Service"), operated by Secretariespaysecretaries.com ("we," "us," "our"). By creating an account or using the Service you agree to these Terms.

1. Eligibility and accounts

You must be at least 18 years old to use the Service. You are responsible for keeping your login credentials secure and for all activity that happens under your account. Notify us right away if you suspect unauthorized access.

2. The marketplace

The Service is a marketplace where independent vendors ("Vendors") sell digital templates and related resources ("Products") to buyers ("Buyers"). We provide the platform, payment processing, and delivery — Vendors are responsible for the Products they list.

3. Purchases

Prices are shown in the currency indicated at checkout. Payment is processed by our payment provider. When your payment is confirmed, you receive a limited, non-exclusive, non-transferable license to download and use the Product for your own or your employer's internal work. You may not resell, redistribute, or sublicense Products.

4. Refunds

All sales are final. Because Products are instant digital downloads, purchases are non-refundable. See our Refund Policy for the narrow exceptions we do consider.

5. Vendors

If you list Products for sale, the Vendor Agreement applies in addition to these Terms.

6. Acceptable use

You agree not to: (a) upload content you don't have the right to distribute; (b) upload malware, illegal, harassing, or infringing content; (c) misuse the Service or attempt to access data that isn't yours; (d) scrape, resell, or bulk-download the Service or other users' content.

7. Intellectual property

Vendors retain ownership of the Products they upload and grant us the license described in the Vendor Agreement to host, market, and deliver them. The Service itself, our branding, and our original content are our property.

8. Disclaimers

The Service and Products are provided "as is" without warranties of any kind. We do not guarantee that Products are error-free, suitable for a specific purpose, or legally compliant in your jurisdiction. Review Products before relying on them.

9. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim arising out of the Service is limited to the amount you paid to us in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

We may suspend or terminate accounts that violate these Terms. You may close your account at any time from your account settings.

11. Changes

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date. Continued use after changes means you accept them.

12. Governing law

These Terms are governed by the laws of Utah, U.S., without regard to conflict-of-laws rules.
